1. Definitions
1.1. "Materials" refers to the audio, video, photographs, and transcripts recorded during the interview session on the date of signing the interview talent form at the location https://talentform.chinaimporttrader.com
1.2. "Likeness" includes the Talent's name, image, portrait, photograph, voice, and biographical information.
2. Grant of Rights
2.1. License
The Talent hereby grants to Producer, and its successors, assigns, and licensees, the perpetual, throughout time worldwide right to:
a) Use, reproduce, distribute, modify, publicly perform, and display the Materials.
b) Use the Talent's Likeness in connection with the Materials.
c) Exploit the Materials in any and all media, whether now known or hereafter devised, for any purpose, including promotional and commercial purposes.
2.2. Revocation
This grant is considered a portrait license contract under Chinese law. The parties agree that the license is irrevocable unless otherwise provided by law.
3. Consideration
The Talent will receive the compensation in recognition verbal and or digital only.
4. Representations and Warranties
The Talent represents and warrants that:
a) They are at least 18 years of age and have the full legal capacity to enter into this Agreement.
b) Their performance under this Agreement will not violate any third-party rights or agreements.
c) They have the full right and authority to grant the rights contained herein.
4.2. Producer's Representations
Producer represents and warrants it shall use the Materials in accordance with this Agreement and applicable laws.
5. Release and Waiver
The Talent, on behalf of themselves and their heirs, executors, and assigns, fully and forever releases and discharges Producer from any and all claims, liabilities, and causes of action of any kind, known or unknown, arising from the use of the Materials or Likeness as permitted herein. This includes, but is not limited to, claims for:
a) Invasion of privacy
b) Right of publicity
c) Defamation, libel or slander
d) Infringement of moral rights
e) Any other personal or property right
6. Governing Law and Dispute Resolution
6.1. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the People's Republic of China.
6.2. Dispute Resolution
Any dispute arising from or in connection with this Agreement shall be first resolved through friendly negotiations. If negotiation fails, either party has the right to submit the dispute to the People's Court with jurisdiction in Guangzhou for litigation.
7. Additional Provisions
7.1. Entire Agreement: This document constitutes the entire agreement between the parties concerning this subject matter and supersedes all prior discussions, agreements, or understandings.
7.2. Severability: If any provision of this Agreement is held invalid or unenforceable, the remainder shall continue in full force and effect.
7.3. Confidentiality: Both parties agree to keep the terms of this Agreement confidential.
7.4. Notices: Any notice required under this Agreement shall be in writing and delivered to the addresses specified above.
